Affiliate program agreement

1. OVERVIEW

This Affiliate Program Agreement (the “Agreement”) is entered into by and between Cloudoora Ltd., a legally registered company (“Cloudoora”, “we”, “us”, or “our”) and the individual or entity applying to join our Affiliate Program (“you”, “your”, “Affiliate Partner”, or “Affiliate”). By electronically accepting this Agreement, you acknowledge that you have read, understood, and agreed to be bound by these terms, as well as our Universal Terms of Service which are hereby incorporated by reference.

Cloudoora reserves the right to modify this Agreement at any time. Updated versions will be published on our website, and your continued participation in the Affiliate Program constitutes acceptance of the most recent terms.

2. SANCTIONS COMPLIANCE

You represent and warrant that you are not located in or a resident of any country under comprehensive sanctions by the U.S., EU, UN, or UK, and that you are not listed on any sanctions list (e.g., OFAC SDN list). If your status changes, you must notify Cloudoora immediately. Any links to sanctioned entities may result in termination of your affiliate account. You agree to cooperate in any compliance screening process and indemnify Cloudoora against any penalties resulting from violations of this clause.

3. PROGRAM PARTICIPATION

To join the Affiliate Program, you must submit an application via Cloudoora’s affiliate signup form. We reserve the right to approve or reject any application for any reason. Applications are generally reviewed within 5 business days.

4. YOUR RESPONSIBILITIES

As a Cloudoora Affiliate, you agree to:

  • Provide accurate and up-to-date account, contact, tax, and payment information.
  • Refer only genuine customers in good standing.
  • Avoid using misleading, spammy, or blackhat marketing tactics.
  • Not promote Cloudoora through illegal or unauthorized channels.
  • Not self-refer (i.e., make purchases through your own affiliate link).
  • Follow all local laws, advertising guidelines, and Cloudoora branding standards.
  • Remain loyal to Cloudoora and avoid any behavior that may harm our brand.
  • Refrain from using any third-party coupon codes or impersonating Cloudoora.
  • Respond promptly to any requests for additional information from Cloudoora.

Violations of these responsibilities may result in account suspension or termination and loss of commissions.

5. PROMOTIONAL MATERIALS & ADVERTISING

You may use only Cloudoora-approved banners, logos, and links available through your affiliate dashboard. Upon termination of this Agreement, all promotional content must be removed from your site within 3 business days.

Prohibited advertising methods include:

  • Spam (emails, forums, groups, etc.)
  • Bidding on “Cloudoora” or similar terms in PPC campaigns
  • Cloaked or masked affiliate links
  • Use of inappropriate content (e.g., adult, hate speech, illegal material)
  • Offering unauthorized incentives or discounts
  • Copying or altering Cloudoora’s content without permission

Cloudoora reserves the right to judge the appropriateness of your advertising methods.

6. COOKIE TRACKING

Affiliate referrals are tracked using cookies stored in the visitor’s browser. The cookie duration is 30 days. The last affiliate link clicked will be credited for the sale. We are not responsible for deleted cookies or misattributed referrals due to user actions.

7. COMMISSION TERMS

  • Affiliates can earn up to 40% commission on eligible services such as shared hosting, VPS hosting, and cloud hosting, depending on the offer.
  • Commission is paid only on the initial purchase of services with durations of 12 months or longer.
  • Commission does not apply to renewals, domain-only purchases (unless specified), email plans, or one-month hosting plans.
  • Maximum payout per transaction is $300.
  • Commission is not credited for refunded or canceled orders within a 45-day window.
  • We reserve the right to review transactions for fraud and withhold payouts for up to 180 days if needed.
  • Old unpaid commissions (older than 2 years) will be removed from your account.

8. INFLUENCER TERMS (If Applicable)

Influencers engaged in collaborations with Cloudoora must:

  • Submit integrations for approval at least 2 days prior to publication.
  • Ensure messaging, links, and discount codes are used as instructed.
  • Disclose paid collaborations as per local regulations.
  • Remake or revise content if it fails to follow the brief.
  • Ensure their content doesn’t violate third-party rights.

9. PAYMENTS & WITHDRAWALS

  • Minimum payout: $100 via PayPal, $500 via Wire Transfer.
  • You must have at least 3 approved conversions to be eligible for a payout.
  • Payouts are processed by the 20th of each month, if the request is submitted by the end of the prior month.
  • Late requests will be included in the next cycle.

10. TERMINATION

  • Either party may terminate this Agreement at any time.
  • Cloudoora may terminate with 7-day notice or immediately in the event of a breach.
  • Upon termination, commissions cease, and all Cloudoora promotional materials must be removed within 3 business days.
  • Inactive accounts (no new conversions in 12 months) may be paused as dormant.
  • Violations resulting in termination may forfeit unpaid commissions, and a $125 administrative fee may apply.
