This Change of Registrant Agreement (the “Agreement”) is entered into by and between Cloudoora Ltd. (“Cloudoora”, “we”, “us”, or “our”) and you (“you”, “your”, “User”, or “Customer”). It becomes effective upon your electronic acceptance.
This Agreement governs your use of Cloudoora’s domain change of registrant services (the “Services”) to transfer a domain name from the current registrant (“Current Registrant”) to a new registrant (“New Registrant”). It applies to both parties. By electronically accepting this Agreement, you acknowledge that you have read, understood, and agree to be bound by this Agreement, along with our Universal Terms of Service, Domain Name Registration Agreement, and Uniform Domain Name Dispute Resolution Policy (UDRP), all of which are incorporated herein.
Cloudoora may update this Agreement at any time, and such changes will take effect immediately upon being posted to our website. Your continued use of the Services after any update means you accept the modified terms. If you do not agree to any updated terms, you must stop using the Services. You are responsible for keeping your account and contact information up to date to ensure you receive important notices, including changes to this Agreement.
Cloudoora operates in partnership with an ICANN-accredited registrar and may revise this Agreement to comply with ICANN or registry operator rules, policies, or contracts.
2. THE CHANGE OF REGISTRANT PROCESS & CLOUDOORA’S ROLE
Both the Current and New Registrants acknowledge they are participating voluntarily and understand that Cloudoora’s role is limited to facilitating the technical transfer of domain registration. Cloudoora does not verify or guarantee the legal validity of the transfer.
Upon initiation of a change request by the Current Registrant, Cloudoora will send a confirmation email to the New Registrant, who must confirm the change within 10 days. If confirmation is not received within that timeframe, the transfer will be canceled, and the process must be restarted.
Once confirmed, a final confirmation will be sent to the Current Registrant. If the Current Registrant has any objections, they must respond within 15 days. Failure to do so will be deemed acceptance of the transfer.
The Current Registrant agrees to release and indemnify Cloudoora against any consequences resulting from a wrongful or improperly executed change, whether caused intentionally or unintentionally.
Important: After a successful registrant change, the domain cannot be transferred to another registrar for 60 days (the “Transfer Prohibition Period”). If a transfer to another registrar is needed soon, that transfer should occur before initiating a registrant change. If another change of registrant occurs within this 60-day period, the restriction resets.
3. REPRESENTATIONS AND WARRANTIES
The individuals accepting this Agreement on behalf of the Current and New Registrants represent that:
They have the legal authority to act on behalf of their respective parties;
No rights or claims related to the domain have been transferred to any other party;
The information provided in the transfer process is accurate and complete.
4. SUCCESSORS AND ASSIGNS
This Agreement is binding upon, and benefits, the parties and their legal successors and assigns.
5. RELEASE AND DISCHARGE
The Current Registrant acknowledges and agrees that:
They are not entitled to any refunds or future compensation related to the domain registration agreements;
Cloudoora is released from all obligations and liabilities to the Current Registrant related to the prior domain registration.
6. LIMITATION OF LIABILITY – NEW REGISTRANT
The New Registrant acknowledges that Cloudoora:
Is not responsible for the legal right of the Current Registrant to transfer the domain;
Does not guarantee the success of the transfer or its timing;
Has no responsibility for any prior or subsequent issues affecting the transfer;
Disclaims all liability regarding the New Registrant’s right to retain or use the domain.
7. ADDITIONAL LIMITATIONS OF LIABILITY
In addition to the limitations in Cloudoora’s Universal Terms of Service, both Registrants agree Cloudoora shall not be liable for:
Suspension, loss, or modification of domain registration;
Inability to use the domain or related services;
Business interruption or losses;
Website or system downtime;
Data corruption, loss, or misdelivery;
Delays or failures in service processing;
ICANN or registry-imposed dispute resolution policies.
8. LEGAL FEES
In any legal dispute arising from this Agreement, the prevailing party is entitled to recover reasonable legal fees and court costs.
9. PROVISIONS FOR .US DOMAIN REGISTRATIONS
If the domain being transferred is a .US domain, the New Registrant agrees to the following Nexus Requirements:
A. Eligibility:
The Registrant must be:
A U.S. citizen, permanent resident, or someone whose primary residence is in the U.S., or
An entity organized or incorporated under U.S. law, or
A foreign entity with a bona fide U.S. presence, conducting regular lawful business or maintaining a U.S.-based office or property.
B. Name Server Location:
All .US domains must have name servers based in the U.S. or its territories.
By proceeding, the New Registrant confirms that they meet the above requirements and have submitted necessary information for verification, which may be shared with the .US registry (NeuStar). Failure to meet or maintain Nexus compliance may result in cancellation of the domain.
10. TITLES, HEADINGS & SEVERABILITY
Headings are for convenience only and do not affect the interpretation of this Agreement. If any provision is deemed unenforceable, the remaining provisions will remain in full force.
11. DEFINITIONS & CONFLICT RESOLUTION
Capitalized terms not defined herein shall have the meaning given in Cloudoora’s Universal Terms of Service. In case of any conflict between this Agreement and other Cloudoora agreements, this Change of Registrant Agreement shall control.
