This Domain Name Transfer Agreement (“Agreement”) is entered into by and between Cloudoora Ltd. (“Cloudoora,” “we,” “us,” or “our”) and you (“you,” “your,” “User,” or “Customer”) and is effective as of the date of your electronic acceptance. This Agreement governs your use of Cloudoora’s Domain Name Transfer services (the “Services”) for transferring a registered domain name from another domain name registrar to Cloudoora, an ICANN-accredited registrar affiliate.
Your electronic acceptance signifies that you have read, understood, and agreed to be bound by this Agreement, as well as Cloudoora’s Universal Terms of Service, Domain Name Registration Agreement, and the Uniform Domain Name Dispute Resolution Policy (UDRP), each incorporated herein by reference. Nothing in this Agreement confers any rights or benefits to third parties.
Cloudoora reserves the right, at its sole discretion, to modify this Agreement or any incorporated policies at any time, with such changes effective immediately upon posting to Cloudoora’s official website. Your continued use of our Site or Services after such modifications constitutes acceptance of the updated Agreement. If you do not agree with the changes, please discontinue use of our Services immediately.
Cloudoora is an affiliate of an ICANN-accredited registrar. You acknowledge that ICANN registrars are bound by ICANN agreements and policies, and you agree that Cloudoora may amend this Agreement to comply with ICANN requirements or the registry policies applicable to the relevant Top-Level Domain (“TLD”) or country-code TLD (“ccTLD”).
2. TRANSFER PROCESS FOR ALL DOMAIN NAMES
2.1. Transfer Steps
To transfer your domain name registration to Cloudoora, complete the online transfer application by providing all required information (including contact and nameserver details). Proceed to payment, then update your Administrative Contact’s email address with your current registrar, as transfer authorization will be requested from this contact. Transfers will only be initiated once the Administrative Contact approves the transfer. The losing registrar must accept or reject the transfer within five (5) calendar days.
2.2. Transfer Rejection or Failure
Cloudoora reserves the right to accept or reject transfer requests at its sole discretion. Possible reasons for rejection include, but are not limited to:
Rejection by the current registrar
Domain registered less than sixty (60) days before transfer request
Domain locked by registry or registrar
Domain transferred to Cloudoora less than sixty (60) days prior
Domain expired and not renewed, or renewed within the 45-day grace period
Registrant information changed less than sixty (60) days before transfer
Account change less than ten (10) days prior
Pending bankruptcy or disputes involving the domain
Any condition described in the applicable Dispute Policy
Transfer requests older than thirty (30) days
2.3. Transfer Terms
Upon successful transfer, you will remain the registrant, and Cloudoora or its affiliate will become the registrar of record. When supported by the domain registry, the registration period will be extended automatically by one (1) year. Transfers require acceptance of this Agreement, payment, and approval by the Administrative Contact as per the current WHOIS data.
2.4. Recently Renewed Domains
If a domain was renewed during its 45-day post-expiration grace period and transferred before the grace period ends, you may lose the renewal year. Cloudoora is not responsible for recovering or crediting lost registration years. Please contact your previous registrar regarding any refund or credit.
2.5. Transfer Data and Authorization
By accepting this Agreement, you authorize Cloudoora to initiate transfer of the domain(s) and acknowledge your responsibility to inform the Administrative Contact of their role in approving the transfer. You agree to be bound by Cloudoora’s Domain Name Registration Agreement, UDRP, and any applicable registry or ICANN policies.
3. TITLES AND HEADINGS; SEVERABILITY
Headings are for convenience only and do not affect the interpretation of this Agreement. Each provision is independent; if any part is invalid or unenforceable, the remainder remains in effect to the fullest extent permitted by law.
4. DEFINITIONS; CONFLICTS
Capitalized terms not defined here have the meanings set forth in Cloudoora’s Universal Terms of Service. In case of conflict, this Agreement supersedes the Universal Terms of Service.
