1. OVERVIEW

This Reseller Master Agreement (“Agreement”) is entered into by and between Cloudoora Ltd. (“Cloudoora”) and you (“Reseller”), and is effective as of the date of your electronic acceptance. This Agreement sets forth the terms and conditions for participation in the Cloudoora Reseller Program (“Program”) through which you may resell certain Cloudoora products and services (“Services”) to your own customers.

Your acceptance of this Agreement affirms that you have read, understood, and agree to be bound by it, together with the Cloudoora Universal Terms of Service, Privacy Policy, and any other policies incorporated by reference.

The terms “we,” “us,” or “our” refer to Cloudoora. The terms “you,” “your,” or “Reseller” refer to any individual or entity entering this Agreement. Nothing herein shall confer any third-party rights.

Cloudoora may amend this Agreement at any time. Such changes are effective immediately upon posting on our platform. Continued use of the Program after changes implies acceptance. It is your responsibility to keep your contact details up to date to receive notifications.

2. DESCRIPTION OF SERVICES

Cloudoora offers Starter, Business, and Enterprise Reseller Packages. These allow resellers to distribute Cloudoora Shared Hosting accounts. Available resources include:

• Starter Reseller: Up to 50 GB storage and 500,000 inodes
• Business Reseller: Up to 300 GB storage and 3.2 million inodes

Available services for resale may vary and are subject to change at Cloudoora’s discretion.

3. LICENSE

Cloudoora grants you a non-exclusive, non-transferable, and revocable license to market and resell the selected Services, subject to this Agreement and the specific policies applicable to each Service.

4. YOUR OBLIGATIONS

4.1 Pricing and Fees

Prices and fees for Services may change without prior notice. You agree to accept such modifications and adjust your pricing to clients accordingly.

4.2 Money-Back Guarantee

You may cancel your Reseller Package within 30 days of initial purchase for a full refund.

4.3 Customer Communication

If major changes to Services require customer notification, you agree to assist Cloudoora in delivering such communications.

4.4 Confidentiality

You agree to maintain the confidentiality of Cloudoora’s proprietary information, including customer data, technical information, and system architecture. This obligation lasts for three (3) years after account termination.

4.5 Non-Transferability

Your Reseller account may not be sold or transferred independently or with a business sale.

4.6 Termination

If you breach this Agreement, Cloudoora may immediately terminate your account. Subsequent accounts opened by you may be closed without notice.

4.7 Audit Rights

Cloudoora reserves the right to audit your website and records to ensure compliance. Failure to cooperate may result in account suspension.

5. INTELLECTUAL PROPERTY

You may not:

• Reverse-engineer or modify any Cloudoora APIs or proprietary tools
• Register or use trademarks or domain names similar to Cloudoora’s
• Use Cloudoora branding, including URLs, without prior authorization

Limited use of Cloudoora marks is allowed for Starter and Business Resellers as specified by Cloudoora marketing guidelines.

6. RESELLER PACKAGE TERMS

Hosting

Cloudoora hosts both your Reseller platform and client sites. Hosting is governed by our Hosting Agreement.

Support

Cloudoora provides 24/7 ticket and email support to you. You are responsible for supporting your own clients.

Social Media Links

You may link social media profiles to your Reseller site. You are solely responsible for such accounts. Use of third-party integrations like Google Buttons must comply with applicable policies.

Custom Domains

You may link your Reseller platform to your own custom domain.

Legal Agreements

Your Reseller site will display Cloudoora’s Terms of Service, Privacy Policy, and related legal documents. You may not alter or remove these policies.

Term and Renewal

Your Reseller Package will auto-renew unless cancelled at least 3 days before your billing date. Cloudoora may suspend or terminate access without notice for any reason. Upon termination, your clients may be migrated to Cloudoora directly. No refunds are provided upon termination.

Representations

You represent that all information used to create and maintain your Reseller site is accurate and lawful, and that your chosen branding does not infringe on third-party rights.

7. HEADINGS, INDEPENDENT TERMS, SEVERABILITY

Headings are for convenience only. Each term of this Agreement is considered independent. If any clause is deemed invalid, the rest of the Agreement remains enforceable.

8. DEFINITIONS AND CONFLICTS

Capitalized terms not defined herein have the meanings provided in the Universal Terms of Service. In case of conflict, this Agreement shall take precedence over general Cloudoora terms.
